Found a solution, thought I would share to save you the headache.
Our environment:
forticlient 5.2.3.0633
http://www.fortinet.com/resource_center/product_downloads.html
win7 pro 64bit
fortigate 240d
Uninstall and reinstall vpn client only, need to reboot
Open forticlient add a new connection, select "do not warn of invalid server cert"
Try to connect, if it fails at 98% or immediately disconnects,
Open network connections, find "fortissl" > properties > general > configure
select 64K digital, use old proprietary protocol channel 1, enable hardware compression
Retry your vpn connection, this worked for me.
